Business customers only. We supply our services solely to business customers — companies, partnerships, sole traders, charities and others acting in the course of a business or profession. Our services are not offered or supplied for private, personal or household use. This applies whatever any other description, order or correspondence may say, and takes precedence over any term to the contrary.
These terms apply to all web hosting, domain registration and email services supplied by Internet Direct (Chichester) Limited ("we", "us", "our") to you, the customer. By ordering, using or paying for a service you accept them.
We supply web hosting, domain registration and email as ordered. We may change the technical means by which a service is delivered — servers, software versions, control panels and data centres — at any time, provided the service as a whole remains broadly equivalent.
Charges are payable in advance and are not refundable in whole or in part, including where a service is cancelled, suspended or terminated before the end of a paid period. Invoices are due on the date stated. All sums are payable in full without set-off, counterclaim or deduction. We may charge interest on overdue sums under the Late Payment of Commercial Debts (Interest) Act 1998, and may suspend or withdraw any service where an account is unpaid, without notice.
You are responsible for everything held on, sent from or done through your service: the website, its code, its content, its software and its updates, all email sent from it, and the security of your passwords and access. You must keep any software you install patched and current. You are responsible for your own backups, for compliance with PCI DSS where you take card payments, and for keeping the contact details we hold for you accurate and current.
You must not use our services for anything unlawful, for unsolicited bulk email, for material infringing the rights of others, or for anything that places an unreasonable load on shared equipment or risks the service of other customers. We decide, acting reasonably, whether use is acceptable.
We do not guarantee that any service will be uninterrupted, uncorrupted, error free or available at any particular time. Services may be unavailable during maintenance, upgrades, supplier outages or events outside our control. No service level, uptime figure or response time is promised unless we have agreed one with you separately and in writing.
Any backup we take is for our own operational purposes. It is not a guaranteed service, we do not warrant that a backup exists, is complete or can be restored, and you should not rely on it. Keeping your own copies of your data is your responsibility.
To the fullest extent permitted by law, we exclude all liability for loss of profit, loss of business, loss of revenue, loss of goodwill, loss of data, loss of anticipated savings, and for any indirect or consequential loss, however arising. Where we are liable to you for any reason, our total liability is limited to the charges you have paid us for the affected service in the three months before the claim arose.
Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be excluded.
You will indemnify us against all claims, losses, damages, costs and expenses, including legal costs, arising from your breach of these terms, from the content or operation of anything you host with us, from your use or misuse of the services, and from any claim brought against us by a third party in connection with them.
Some elements of a service depend on third parties, including domain registries, upstream networks, certificate authorities and software vendors. We are not responsible for their acts, omissions, outages, price changes or terms, and we are not liable for any loss arising from them.
We are not liable for any failure or delay in providing a service caused by anything outside our reasonable control, including network or power failure, supplier or carrier failure, fire, flood, severe weather, industrial action, criminal acts against us or our systems, and acts of government or regulator.
We may suspend or terminate any service, or any arrangement with you, at any time and with immediate effect, at our discretion and without liability to you. We may do so without giving a reason. No refund is due on termination.
You may terminate a service by giving us notice in writing; charges already paid are not refunded and charges already due remain payable.
Following termination, and where an account remains unpaid for 14 days after the due date, we may delete all data, files, databases and email held on our systems for you without further notice and without any obligation to provide a copy. Retrieve anything you need before a service ends.
Domain names are registered subject to the rules of the relevant registry, which take precedence over these terms. Renewal is your responsibility; we may send reminders but are not obliged to, and we are not liable for a domain that lapses, is suspended or is lost.
We process personal data in accordance with UK data protection law and our privacy policy. Where we host data on your behalf you remain responsible for that data, for the lawful basis on which it is held, and for responding to any request about it.
We may change these terms at any time by publishing the revised version on this page. Continued use of a service after that constitutes acceptance.
These terms are the entire agreement between us and supersede anything said or written beforehand. If any provision is found unenforceable, the rest continues in force. A delay in enforcing any term is not a waiver of it. You may not transfer your agreement with us to anyone else without our written consent. No one other than you and us has any right to enforce these terms.
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
